Valesky Computer Solutions, LLC – Terms & Conditions

These Terms & Conditions (“Terms”) govern the use of services provided by Valesky Computer Solutions, LLC (“we,” “our,” or “us”). By scheduling an appointment, requesting service, or engaging with us in any capacity, you agree to these Terms.


1. Scope of Services

Valesky Computer Solutions, LLC provides part‑time IT consulting services, including but not limited to:

  • Remote and on‑site IT support
  • Network, WiFi, AV, and telecom planning
  • Construction prebuild and design coordination
  • Vendor communication and technical advisory
  • RingCentral setup, support, and migration guidance

Services are offered based on availability and may be scheduled around limited part‑time consulting hours.

A free 30‑minute consultation is provided solely to assess needs; no deliverables or technical work are included in this introductory call.


2. Scheduling, Cancellations, and Rescheduling

2.1 Appointments

Appointments must be scheduled in advance using our online scheduling system or by contacting us directly.

2.2 Cancellation Policy

Cancellations or rescheduling requests should be made at least 24 hours in advance.

Missed appointments or short‑notice cancellations may be billed at the minimum hourly rate.

2.3 On‑Site Service Availability

On‑site availability may be limited due to part‑time scheduling constraints. Priority is given to Monthly Partner Plan clients.


3. Rates, Billing & Payments

3.1 Hourly Services

Rates are based on the selected pricing model. Hourly appointments are billed with a one‑hour minimum, followed by 15‑minute increments.

3.2 Project Packages

Project prices listed are starting rates; final pricing may vary depending on complexity, site size, vendor requirements, and deliverables. A written estimate will be provided prior to beginning project work.

3.3 Monthly Partner Plans

Unused hours do not roll over month to month. Plan fees are billed at the start of each service month unless otherwise agreed.

3.4 Payment Terms

Invoices are due upon receipt unless otherwise specified. Late payments may delay ongoing work.


4. Client Responsibilities

To ensure accurate and effective service delivery, clients agree to:


Provide accurate information regarding their systems and environment

Supply necessary access to equipment, platforms, or facilities

Notify us promptly of changes in project scope or requirements

Ensure that all third‑party vendors relevant to the engagement remain responsive


Failure to provide required access may delay the project and does not exempt applicable billing.


5. Limitations of Service

While we strive to deliver reliable and high‑quality work, the following limitations apply:


We do not guarantee outcomes dependent on third‑party vendors, ISPs, telecom carriers, or construction teams

We are not responsible for pre‑existing hardware defects, wiring issues, environmental interference, or vendor delays

Recommendations provided during consulting sessions are based on industry best practices but may require client-approved additional resources or vendor involvement


6. Confidentiality

We will not disclose client information, project details, network diagrams, or credentials except as required to perform the services or comply with law.

Clients are responsible for securing administrative credentials, passwords, and sensitive access details.


7. SMS Consent, Privacy, and Communications

If you opt to receive SMS notifications (e.g., appointment reminders, status updates):

SMS consent is not shared with third parties.

SMS consent is not shared with affiliates.

You may opt out of SMS messaging at any time by replying “STOP.”

8. Third‑Party Providers & Dependencies

Our services may involve or rely on:

  • Internet service providers
  • Telecom carriers
  • Hardware and software vendors
  • Construction, low-voltage, or electrical contractors
  • Third‑party cloud services

We are not responsible for outages, performance issues, or policy changes originating from these vendors.


9. Liability Disclaimer

To the fullest extent permitted by law:


Valesky Computer Solutions, LLC will not be liable for incidental, indirect, consequential, or punitive damages, including downtime, data loss, or lost business

Total liability for any claim will not exceed the amount paid for services directly related to the claim


Clients are responsible for maintaining their own system backups and disaster recovery procedures.


10. Termination of Services

Either party may terminate services at any time with written notice.

Outstanding invoices remain due after termination.

Monthly Partner Plans may be canceled before the next billing cycle unless otherwise agreed.


11. Changes to These Terms

These Terms may be updated periodically. Updates will be posted on our website with a revised effective date. Continued use of our services indicates acceptance of updated terms.
